Conyers Dill & Pearman provided BVI legal advice to State Grid Overseas Investment (2016) Limited (“State Grid”) in its:

(1.1) US$950 million principal amount of its 3.75% Senior Guaranteed Notes due 2023 (the “2023 USD Notes”) and
(1.2) US$800 million principal amount of its 4.25% Senior Guaranteed Notes due 2028 (the “2028 USD Notes” and together with the 2023 USD Notes, the “USD Notes”),

(2.1) EUR500 million principal amount of its 1.375% Senior Guaranteed Notes due 2025 (the “2025 EUR Notes”) and
(2.2) EUR350 million principal amount of its 2.125% Senior Guaranteed Notes due 2030 (the “2030 EUR Notes” and together with the 2025 EUR Notes, the “EUR Notes”),

under the US$10 billion medium term note programme (the “Updated MTN Programme”) and guaranteed by State Grid Corporation of China, the holding company of State Grid Overseas Investment (2016) Limited.

State Grid is the largest utility corporation and the largest power grid corporation in the world, as well as the largest power grid construction and operation company in China, measured by revenue.
