Conyers Dill & Pearman (“Conyers”) provided Cayman Islands legal advice to Burmeister & Wain Scandinavian Contractor A/S of Alleroed, Denmark (“BWSC”) in connection with operating a locally licensed entity in the Cayman Islands to carry out BWSCs mandate pursuant to the design-build contract with Caribbean Utilities Company, Ltd. (the “CUC Contract”) to include advice with respect to, inter alia, the CUC Contract, structuring of local operations and incorporation and set-up of an ordinary resident company, as well as licensing, corporate, pension, health and immigration requirements in the Cayman Islands in respect of its newly incorporated subsidiary, BWSC Cayman Ltd.
By way of background, in October 2014, CUC was selected by the Electricity Regulatory Authority of the Cayman Islands to provide 39.7 MW of additional electricity generation capacity following an open and competitive bidding process. It was therefore necessary to construct a new generating plant as well as purchase additional engines and generators to provide the additional capacity; and in December 2014, CUC and the consortium of BWSC and MAN Diesel SE of Augsburg, Germany entered into the CUC Contract with BWSC A/S acting as the consortium leader. Pursuant to the CUC Contract MAN Diesel will supply the two diesel engines and the two generators and BWSC the balance of the plant, including the civil and building works, erection, test and commissioning on site in Grand Cayman.
