Conyers Dill & Pearman provided Cayman Islands legal advice to Little Sheep Group Limited (the “Company”) on its (i) Scheme of arrangement between the Company and its scheme shareholders (“Scheme”) and (ii) reduction of issued share capital of the Company pursuant to the Scheme consisting of a HK$4,467 million offer to shareholders and HK$60 million offer to option holders for a total of HK$4,527 million.
Little Sheep Group Limited, an investment holding company, engages in the operation of full-service restaurants chain, provision of catering services, and the sale of related food products. It operates Chinese hot pot restaurants. The company is also involved in the production of soup-based seasonings and sale of lamb meat; and provision of slaughtering and meat processing services. It operates and franchises full-service restaurants chain under the Little Sheep brand in Mainland China, Hong Kong, and Macau.
