Conyers advises Bestgain Real Estate Lyra Limited on establishment of US$2 billion medium term note programme

Conyers provided BVI legal advice to Bestgain Real Estate Lyra Limited, a wholly owned subsidiary of Vanke Real Estate (Hong Kong) Company Limited (“Vanke HK”), which in turn is a wholly-owned subsidiary of China Vanke Co., Ltd. China Vanke Co., Ltd. is listed on the Shenzhen Stock Exchange and is the largest residential real estate developer in the PRC. The legal advice was in connection with the establishment of the US$2 billion guaranteed medium term note programme (the “Programme”) relating to the issue of medium term notes (the “Notes”) by Bestgain Real Estate Lyra Limited and guaranteed by Vanke HK. China Vanke Co., Ltd. also entered into a keepwell deed in favour of the arranging banks in respect of certain financial undertakings and ownership of the issuer and the guarantor.
