Conyers advised Onex Corporation on acquisition of Survitec Group

Conyers Dill & Pearman, Cayman (“Conyers”) acted for Onex Corporation (“Onex”), a market-leading provider of mission-critical marine, defence and aerospace survival equipment through the acquisition of the entire issued share capital of Survitec Group (Cayman Islands) Limited (the “Company”), the holding company of the Survitec Group (the “Acquisition”) .

As well as advising Onex on the corporate and M&A aspects of the Acquisition, Conyers also advised Onex and the Company on the financing of the Acquisition, including the £310,000,000 senior facilities agreement, comprising term facilities, a revolving credit facility and an acquisition/capex facility.

Conyers worked alongside Latham & Watkins, London office, on this transaction with Clifford Chance, London office, acting for the vendor, and Freshfields, London office, acting for the lenders.

The Cayman team comprised Charlie Pywell, Richard Fear and Kevin Butler.
