Conyers acted as British Virgin Islands counsel to the Brazilian Schahin Group in a $270 million note issuance for the purpose of re-financing the Schahin Group’s dynamically positioned oil drilling ship the SC Lancer. The financing was completed on Thursday, October 21, 2010.
The Conyers team included attorneys in Conyers’ São Paulo and BVI offices acting alongside Shahin Group’s in-house attorneys, Linklaters LLP and Lefosse Advogados. Hogan Lovells and Souza, Cescon, Barrieu & Flesch Advogados acted as US and Brazilian counsel for Nomura Securities International, Inc.
Alan Dickson commented: “This transaction allowed Schahin to access international capital markets to refinance the SC Lancer. It was a significant transaction due to its size and complexity. The transaction involved a British Virgin Islands restricted purpose issuer, showing once again that the British Virgin Islands is a key offshore jurisdiction for Brazilian companies to access international capital markets.”
Schahin is a large and diversified Brazilian industrial company, active in industries including the oil and gas industry in Brazil.
As the only offshore law firm with an office in Brazil, Conyers provides prompt, relationship-driven advice to clients in São Paulo and throughout Brazil.
