Wynne Lau is Partner in the Hong Kong Corporate practice. Wynne joined Conyers in 2006.

Wynne’s practice covers all aspects of corporate and commercial law with particular focus on corporate finance, private equity, merger and acquisitions, corporate reorganisations, re-domicile exercise, banking and syndicated loan transactions. Wynne has extensive experience in private and public equity and debt offerings, including debt financings, mortgage back securities transaction, MTN programmes, pre-IPO financings, initial public offerings, dual & secondary listings on stock exchanges globally, including Hong Kong, Shanghai, Taiwan and the United States. Wynne advises investment banks, private equity houses, and corporate enterprises (international and mainland China, including private and state own enterprises) on cross-border and multi-jurisdictional transactions.

Wynne is one of the very few offshore lawyers in the market with on-the-ground experience in China, hence has a deep understanding of the business culture of our PRC clients. This is also one of the reasons why she has great relationship with some of our long-standing clients state-owned enterprise such as State Grid Corporation of China, where Wynne advised its first international debt issue, and in subsequent years, advised again on its global offering of four-tranches dual currency Notes listed on Hong Kong Stock Exchange and Irish Stock Exchange simultaneously.

Wynne is also a key partner in the China Resources Microelectronics IPO matter, which is the first red-chip listing on the SSE Star Market, co-leading the team with Lilian Woo. Additionally, Wynne advised the successful listing of InnoCare Pharma Limited on SSE STAR Market as well as OrbusNeich Medical Group Holdings Limited and Buyang International Holding Inc etc. on Hong Kong Stock Exchange in recent years.

Experience

  • Advised HKT Group Holdings Limited on revolving credit loan facility in aggregate up to HK$ 8.246 billion by 7 participating banks to Hong Kong Telecommunications (HKT) Limited.
  • Advised New Oriental Education & Technology Group Inc. (NYSE:EDU) in its US$1.3 billion secondary listing of new ordinary shares on the Hong Kong Stock Exchange.
  • Advised CAR Inc. HK$8.5 billion privatisation by MBK Partners by way of Voluntary General Offer & Compulsory Acquisition. CAR Inc. is one of the largest car rental companies in China.
  • Advised China Resources Microelectronics Limited on its pioneering red-chip listing on the Sci-Tech Innovation Board of the Shanghai Stock Exchange, or SSE STAR Market.
  • Advised Road King Infrastructure Limited on its tender offer of US$450 million guarantee senior notes listed on The Hong Kong Stock Exchange and its global offering of US$400 million guaranteed senior notes listed on the official list of Singapore Exchange Securities Trading Limited. Road King is the leading toll road investor and operator, as well as a prominent property developer, in China and Hong Kong.
  • Advised Tongcheng Travel Holdings Limited (formerly known as Tongcheng-Elong Holdings Limited) on its group reorganisation and merger with eLong Inc. and its HK$1.4 billion IPO on The Hong Kong Stock Exchange. Tongcheng-Elong is the market leader in China’s online travel industry.
  • Advised State Grid Corporation of China on its first international debt issue on the Rule 144A/Regulation S offering of US$2 billion Senior Guaranteed Notes and in subsequent years, advised again on its global offering of four-tranches dual currency Notes comprising of US$ 1 billion Senior Guaranteed Notes listed on Hong Kong Stock Exchange and EUR 1 billion Senior Guaranteed Notes listed on the Irish Stock Exchange simultaneously. This is a debut bond in EUR for State Grid, and further advised on US$15 billion Guaranteed Medium Term Note Programme in dual currency notes in USD and EURO and listing of the programme on The Hong Kong Stock Exchange. The notes are unsecured guaranteed notes with Aa3 ratings by Moody’s. State Grid is the largest utility corporation and the largest power grid corporation in the world, as well as the largest power grid construction and operation company in China, measured by revenue.
  • Advised HKT Group Holdings Limited on HK$11.7 billion bilateral loan facility by 11 participating banks to Hong Kong Telecommunications (HKT) Limited in connection with the US$2.43 billion takeover of CSL New World Mobility.
