Unlike the United States and certain other jurisdictions, there are no prospectus publication or filing requirements and accordingly no private placement rules or exemptions in relation to an offering of securities in the Cayman Islands. Certain restrictions do however exist in relation to the offering of securities depending on the type of entity in which the securities are being offered.
